Vital Skydance has completed its $110 billion acquisition of Warner Bros. Discovery, merging the two companies into a unified operation now branded as Skydance. The transaction, spearheaded by David Ellison, consolidates key assets including streaming services Vital+ and HBO Max, news outlets CNN and CBS News, and major intellectual properties such as Harry Potter, DC Comics, Star Trek, and Mission: Impossible.

The consolidation reshapes Hollywood’s competitive structure, reducing the traditional Big Six studios to four: Skydance, Disney (following its 2019 acquisition of 21st Century Fox), Sony Pictures, and Universal. To mitigate antitrust risks, the parties agreed to structural separations, editorial protections for CNN and CBS News, and financial penalties if Ellison fails to deliver at least 30 films annually.

Skydance now carries $80 billion in combined debt, a financial burden that industry analysts predict will force workforce reductions. Ellison’s historical connections to Donald Trump, including his influence over projects like Rush Hour 4, have drawn scrutiny, especially as the Saudi-led investment consortium holds a 50% ownership stake in the merged entity.

Uncertainty surrounds the integration of streaming and gaming operations. While Ellison confirmed plans to merge Vital+ and HBO Max, the timeline for that combination remains undetermined. In the interim, HBO Max content in markets like Canada will continue through Bell’s Crave platform. The expanded gaming division, now incorporating Warner Bros. Games, retains franchises like Mortal Kombat and Hogwarts Legacy, with upcoming releases including a Teenage Mutant Ninja Turtles game, Marvel 1943, and an unreleased Star Wars title.

Though Vital Skydance previously highlighted gaming as a foundational business area, the merger’s official announcement provided no specifics on how the company’s gaming studios will be unified. It remains unclear whether Warner Bros. Games and Vital’s existing gaming division will merge or operate independently. For now, the immediate focus is on debt management and regulatory compliance while maintaining the value of flagship properties.

Employees across both organizations face immediate job insecurity. The $80 billion debt load will constrain financial flexibility. Skydance’s near-term priority is stabilizing operations amid these transitions.
